Terms of Use

These Terms govern the Vibooks website, desktop application, licensing model, and optional connections to external AI agents. Separately contracted bookkeeping services also require an accepted quote or written engagement scope.

1. The service

Vibooks is bookkeeping software provided by Block Software Inc. The current desktop product is local-first and is designed to help individuals, businesses, and bookkeeping professionals maintain books, generate standard financial reports, and work with external AI agents through API.

The software does not provide tax filing, legal advice, accounting advice, or a guarantee that your records satisfy any jurisdiction, regulator, lender, or advisor. Bookkeeping services promoted on the website are a separate service described below.

2. Separately contracted bookkeeping services

Block Software Inc. may separately offer bookkeeping services. A website description or initial inquiry does not create an engagement. Work begins only after we accept the requested scope and the parties agree in writing on price, period, responsibilities, delivery, and any additional service terms.

Unless a written engagement explicitly says otherwise, bookkeeping services do not include payroll preparation or filing, tax filing or tax advice, legal advice, audit, review, compilation, assurance, or representation before any authority. You remain responsible for engaging qualified local professionals where those services are required.

You are responsible for providing complete and accurate information, responding to material questions, reviewing proposed adjustments and deliverables, and deciding whether the result is suitable for your business and compliance obligations.

Do not send financial documents as ordinary email attachments. Use only the transfer method identified for the engagement. The Privacy Policy explains how service data is handled.

3. Eligibility and acceptable use

You may use Vibooks only in compliance with applicable law and these Terms. You may not use the service to violate law, abuse infrastructure, infringe the rights of others, or attempt to interfere with the reliability or security of the product.

You are responsible for the people, devices, automations, and agents operating under your control.

4. License

Subject to these Terms and any purchase-specific conditions, Block Software Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use Vibooks during the applicable license term.

Unless we separately authorize it in writing, you may not resell, sublicense, redistribute, assign, transfer, rent, lease, white-label, host, or otherwise make Vibooks available to third parties as a hosted, managed, service bureau, or similar software offering.

For clarity, you may use Vibooks as your internal tool to maintain your own books or to perform bookkeeping work for clients or employers, provided you do not grant third parties standalone access to Vibooks as a substitute for their own license.

All intellectual property rights in the software, website, branding, and related materials remain with Block Software Inc. unless explicitly stated otherwise.

5. Company subscriptions and licensed features

New Small Business subscriptions are billed annually per company. Each additional company has the same unit price for the selected market offer. Each paid company contributes two retained Book places to one shared workspace pool; Books are not a separately priced checkout item. Most companies use one primary Book across fiscal years. The purchased offer determines the supported Book countries independently of display language.

Canadian Payroll is an optional annual add-on purchased per company, available only for supported Canadian companies and certified payroll coverage. It has no employee limit or per-pay-run software fee. Recording payroll results provided by an external payroll service or accountant is included in standard bookkeeping. Payroll calculation does not include moving money, remitting deductions, or filing returns.

Every retained Company and Book counts toward local capacity, including archived records. Only permanent deletion through the product’s guarded deletion flow releases Company or Book capacity. If retained data exceeds a reduced quantity at renewal or after a full restore, ordinary changes remain blocked until you permanently delete enough archived data or purchase sufficient capacity; backup, export and the guarded recovery actions remain available.

You choose the Canadian Companies that use purchased Payroll places inside the desktop app. A choice is fixed for the paid period before native calculation begins. Renaming, archiving or deleting that Company does not release the Payroll place during the period; a successful paid renewal begins a new selection period.

Existing licenses retain their purchased features, limits and renewal terms unless you explicitly confirm migration. Migration preserves the license identity and paid current term; compatible client software is required. These new offer terms do not retroactively replace an existing purchase.

Small Business includes standard bookkeeping, banking and reconciliation, assets, inventory and tax workflows, dimensions, industry presets, grouped reporting, backup, export and import, and approval controls.

Bookkeeping firms use the same plan and may contact sales for an individual quote.

6. External AI agents and your responsibilities

Vibooks may be used with external AI agents, model providers, or automation tools that are not operated by Block Software Inc. You decide whether to connect them and what information to send.

When you use external AI agents or model providers with Vibooks, prompts, source materials, bookkeeping records, and outputs may be sent to those third-party services, and their terms, privacy practices, and retention policies will apply to that processing.

You remain responsible for reviewing outputs, validating entries, confirming categorizations, deciding what data to send, and ensuring that any automated workflow is suitable for your business and compliance obligations.

7. Your data, exports, and backups

You are responsible for the accuracy of the books you maintain, the records you import, the exports you share, and the backup strategy you choose to operate.

The current local-first desktop workflow reduces dependence on hosted storage, but it does not remove your obligation to keep appropriate backups, secure your devices, and control access to exported materials.

8. Fees, renewals, and purchase channels

Software pricing is displayed separately on our website or in the applicable purchase flow. Bookkeeping service pricing and payment terms are defined in the accepted quote or engagement. Taxes, currency conversion, and payment processing terms may vary by purchase channel, jurisdiction, and platform.

If your purchase is made through a third-party platform or payment processor, that provider may collect billing or payer details directly and may apply additional terms relating to billing, refunds, renewals, or account access.

New annual subscriptions renew automatically until canceled. The checkout or renewal confirmation shows the purchased quantities, currency, applicable taxes, price and renewal date. Canceling renewal leaves the already-paid term in place.

An increase during a paid term follows the existing renewal date. You review the payment provider’s partial-term charge before confirmation; added access begins after successful payment. Quantity reductions take effect at the next renewal, not during the already-paid term. Archived Companies and Books still count, so you must permanently delete enough archived data before the reduced quantity takes effect or keep sufficient capacity.

Migration of an unexpired existing license takes effect at its paid term end after your confirmation, without an early annual charge. Where a payment method is needed, you authorize the future payment. An expired license may be renewed by a new purchase linked to the same license. Confirming a migration may restart previously canceled renewal, as explicitly stated in the confirmation.

9. Availability, updates, and changes

We may update, improve, modify, suspend, or discontinue parts of Vibooks at any time. We may also release patches, new versions, or changes to licensing and service operations.

Some features may depend on compatible devices, supported operating systems, internet connectivity for license validation or updates, and the continued availability of third-party services that you choose to use.

10. Disclaimers

Vibooks is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not warrant uninterrupted availability, error-free operation, or suitability for every accounting, tax, legal, or regulatory requirement.

You should consult qualified professionals before relying on software outputs for tax filings, legal compliance, financing decisions, or regulated reporting.

11. Limitation of liability

To the maximum extent permitted by law, Block Software Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data.

Where liability cannot be excluded, it will be limited to the amount you paid for the applicable license term or bookkeeping service engagement giving rise to the claim.

12. Changes to these Terms

We may revise these Terms from time to time. Continued use of Vibooks after updated Terms become effective constitutes acceptance of the revised Terms.
